1. Acceptance of Terms:

By accessing or using the Company's job portal (the 'Portal'), Recruiter agrees to be bound by the terms and conditions of this Agreement. If Recruiter is not willing to be bound by the terms and conditions of this Agreement, Recruiter must not access or use the Portal.

2. Definitions:

  • Job Posting: Any information related to an open position posted on the Portal by a Recruiter.
  • Candidate: Any individual seeking employment opportunities through the Portal.
  • Confidential Information: Any non-public information disclosed by one party to the other party under this Agreement, including, but not limited to, Job Postings, candidate information, and business plans.
  • Direct Placement: When a Recruiter using the Portal fills a position directly (not through another Recruiter using the Portal).
  • Partner Placement: When a Recruiter using the Portal fills a position by placing a candidate who found the opportunity through another Recruiter using the Portal.
  • Membership: Different level of access to the Portal with varying features and limitations.

3. Use of the Portal:

  • Recruiters may use the Portal to:.
    • Post Job Postings and search for Candidates.
    • Connect with other Recruiters who have posted relevant Job Postings.
    • Refer qualified Candidates to other Recruiters' Job Postings.
    • Utilize additional features based on their chosen Membership level.
  • Recruiters are responsible for the accuracy and completeness of all Job Postings and other information submitted to the Portal.
  • Recruiters agree to comply with all applicable laws and regulations in connection with their use of the Portal.
  • Recruiters may not use the Portal for any illegal or unauthorized purpose, including, but not limited to, spamming, phishing, or infringing on the intellectual property rights of others.
  • Recruiters may not share Confidential Information with any third party without the prior written consent of the other party.

4. Job Postings and Fees:

  • Different Membership levels offer varying Job Posting limits and features.
  • Direct Placements follow the agreed-upon fee structure by Recruiters involved. The Company is not a party to these agreements and is not responsible for any disputes or non-payment issues.
  • Partner Placements are subject to a referral fee determined by the terms agreed upon between the Recruiters using the Portal's messaging system.
  • The Company may charge a separate commission fee for Partner Placements facilitated through the Portal, as outlined in the specific Membership plan details.

5. Candidate Information:

  • Recruiters may contact Candidates through the Portal's messaging system after obtaining their consent.
  • Recruiters may not use any Candidate information obtained through the Portal for any purpose other than contacting the Candidate about potential employment opportunities.
  • Recruiters agree to keep all Candidate information confidential and not share it with any third party without the Candidate's consent.

6. Intellectual Property:

  • The Portal and its content are the property of the Company and protected by copyright, trademark, and other intellectual property laws.
  • Recruiters may not modify, copy, distribute, or create derivative works of the Portal or its content without the express written permission of the Company.

7. Disclaimer of Warranties:

The Portal is provided 'as is' and without any warranties of any kind, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Portal will be uninterrupted, error-free, or secure.

8. Limitation of Liability:

In no event will the Company be liable to any Recruiter for any damages arising out of or in connection with the use of the Portal, including, but not limited to, direct, indirect, incidental, consequential, and punitive damages.

9. Termination:

This Agreement may be terminated by either party at any time for any reason. Upon termination, Recruiter must immediately cease using the Portal and delete all Confidential Information of the Company.

10. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws provisions.

11. Entire Agreement:

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

If any provision of this Agreement is held to be invalid or unenforceable, such provision
